MTN Ghana invites shareholders to a May 21 EGM to review and vote on the proposed localisation of MobileMoney Limited.

Scancom PLC (MTN Ghana) has issued a circular dated April 30, 2025, to inform its shareholders of an upcoming Extraordinary General Meeting. The meeting will be held on Wednesday, May 21, 2025, at 11:00 GMT, both in-person at the Accra International Conference Centre and virtually via live streaming at https://mtnghegm.com/ .

The circular primarily relates to the proposed localisation of MobileMoney Limited (MML). It outlines details about the MML Localisation structure, including necessary legal, tax, and financial considerations. The circular emphasizes that forward-looking statements within it are based on assumptions and are subject to risks and uncertainties.

Shareholders who have disposed of their shares are advised to forward the circular to the new holders. It also clarifies that the document is not a solicitation for the sale or purchase of securities in any foreign jurisdiction and may be subject to distribution restrictions in some countries.

Further information, including the proxy form and notice of meeting, is included in the appendices of the circular. Shareholders may access the full document at the MTN Ghana website or obtain a copy from the company’s registered office.
