MTN Uganda to Separate MoMo Business from Core Telecom Operations

MTN Uganda  has announced plans to structurally separate its mobile money and financial technology business, MTN MoMo (U)  Limited, from its core telecommunications operations. The proposed restructuring will be deliberated at an Extraordinary General Meeting (EGM) scheduled for Wednesday, 2 July 2025, at 3:00 p.m.

In a notice released, MTN Uganda informed shareholders of the hybrid EGM, which will be conducted both physically and electronically in line with Article 62(c) of the company’s Articles of Association. Shareholders will be asked to consider and, if deemed fit, approve the “Proposed Transaction”—a strategic move to implement a full structural separation of MTN MoMo.

According to the circular, the restructuring will be executed through a company amalgamation. The new entity formed from this process will operate the mobile money and fintech business and will be owned by MTN Group Fintech Holdings B.V., along with a trust set up to benefit minority institutional and retail investors.

If approved, the transaction is expected to enhance operational focus, unlock value, and align with MTN Group’s broader fintech strategy. However, the completion of the transaction is contingent on obtaining necessary regulatory approvals and meeting any conditions imposed by the relevant authorities.
