The transaction was executed on 2 January 2026, following the authority granted by shareholders and in line with the buy-back programme disclosed on 22 September 2025.

Airtel Africa plc  has announced the purchase of additional ordinary shares as part of its ongoing share buy-back programme, reinforcing its commitment to enhancing shareholder value. The transaction was executed on 2 January 2026, following the authority granted by shareholders and in line with the buy-back programme disclosed on 22 September 2025.

According to the company, a total of 40,000 ordinary shares, each valued at USD 0.50, were acquired from Barclays Capital Securities Limited. The shares were purchased at prices ranging between 356.40 pence and 363.80 pence, with a volume-weighted average price of 361.09 pence. Airtel Africa confirmed that all shares bought under this transaction will be cancelled.

Following the cancellation, the total number of ordinary shares in issue stands at 3,655,840,539, including 7,489,044 shares held in treasury. As a result, the company’s total voting rights now amount to 3,648,351,495. Airtel Africa noted that this figure should be used by shareholders when assessing disclosure obligations under the UK Financial Conduct Authority’s Disclosure Guidance and Transparency Rules.

The purchases were carried out across multiple trading venues, including the London Stock Exchange, BATS Europe, CHI-X Europe, Aquis Exchange, and Turquoise. The London Stock Exchange accounted for the largest volume of shares acquired during the transaction, reflecting the central role of the market in the execution of the buy-back.

Since the launch of the first tranche of its $100 million share buy-back programme in December 2024, Airtel Africa has now repurchased a cumulative total of 40,965,209 ordinary shares. These shares were acquired at a volume-weighted average price of 152.4457 pence per share, highlighting the scale and sustained pace of the programme.

The company stated that the latest transactions were completed under the revised arrangements with Barclays Capital Securities Limited announced in September 2025. Airtel Africa continues to execute the buy-back programme in line with regulatory requirements, as part of its broader capital allocation strategy.
