Vodacom Receives Deloitte Fairness Approval for $2.1B Safaricom Stake Acquisition

Vodacom confirmed that the fairness opinion has been reviewed and approved by the JSE. Shareholders can inspect the full document at Vodacom’s registered office at 082 Vodacom Boulevard for a period of 28 calendar days from the announcement date.

Vodacom Group Limited,  the South Africa–based telecommunications giant, has provided an update on the acquisition of an additional 20% stake in Safaricom PLC. The acquisition, valued at US$2.1 billion (R36.0 billion) and equivalent to KES 34 per Safaricom share, was initially announced on 4 December 2025 via the Stock Exchange News Service.

As this transaction is considered a small related-party transaction under the JSE Listings Requirements, it was conditional on an independent fairness opinion. Deloitte, the appointed independent expert, was tasked with assessing whether the purchase consideration for the Vodafone Kenya acquisition was fair to Vodacom shareholders.

Vodacom confirmed that the fairness opinion has been reviewed and approved by the JSE. Shareholders can inspect the full document at Vodacom’s registered office at 082 Vodacom Boulevard for a period of 28 calendar days from the announcement date.

The announcement reflects Vodacom’s ongoing strategic investment in Safaricom, strengthening its position in East Africa’s most profitable telecommunications market.
